Terms of Service

Welcome to Espa (“Espa,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Espa website, dashboard, WhatsApp interface, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

• You are at least 18 years old (or the age of majority in your jurisdiction).
• You have a valid Gmail or Google Workspace account and grant us permission to access your email and calendar through Google OAuth.
• You provide a valid email address and/or phone number for account registration.
• You agree to receive communications from us (including via WhatsApp) related to the Service.

2. Description of Service

Espa is an AI-powered productivity assistant designed to help you manage your email, calendar, tasks, and related activities. Key features include email triage and drafting, follow-up and unsubscribe assistance, scheduling and coordination, reminders, and task management using the “Getting Things Done” (GTD) methodology. Additional tools such as delegation, research, and travel planning may become available.

Because Espa relies on third-party AI models and APIs, results may occasionally be imperfect or require user review. You are responsible for reviewing any suggested actions, emails, or calendar changes before finalizing them.

3. Account Registration & Security

• Provide accurate registration information.
• Maintain the confidentiality of your login credentials.
• Notify us immediately of any unauthorized use of your account.

You are responsible for all activity that occurs under your account.

4. Google OAuth Access & Compliance

To provide its core functionality, Espa requests access to certain Google user data. We follow Google’s User Data Policy, including the Limited Use requirements for restricted scopes.

Data We Access

Espa may request the following OAuth scopes (examples shown as scope badges):

• Gmail Read/Modify — Read inbox, draft replies, apply labels, archive messages, and follow up on tasks you have approved.
• Gmail Send — Send emails on your behalf, only after explicit user confirmation.
• Calendar Read/Write — Read events, suggest scheduling times, create new events, and update or delete events with your approval.
• User Profile — Identify your account and personalize your experience.

How We Use This Data

• Provide inbox triage, email drafting, and follow-up assistance.
• Suggest and schedule meetings based on your availability.
• Remind you of upcoming events and tasks.
• Enable you to delegate or archive tasks quickly.

Data Storage & Security

• Only data necessary for providing the Service is stored.
• Data is encrypted in transit and at rest.
• Tokens can be revoked at any time via your Google Security Settings.

Your Rights

• Revoke Espa’s access to your Google data at any time.
• Request deletion of your stored data by contacting help@espa.ai.
• Your data is not used to train machine learning models and is never sold to advertisers.

5. Payments, Billing, and Cancellation

• Subscription Fees: Espa is a paid subscription service. The current price for Alpha users is $19.99/month, billed via Stripe.
• Billing Cycle: Subscriptions automatically renew monthly until canceled.
• No Refunds: Payments are non-refundable. You may cancel at any time to prevent future billing.
• Grandfathered Pricing: Alpha users will retain their introductory price for future versions of Espa unless otherwise stated.

6. Acceptable Use

• Do not use the Service for unlawful, harmful, fraudulent, or abusive purposes.
• Do not spam, harass, or send unauthorized commercial communications through the Service.
• Do not attempt to reverse-engineer, disrupt, or bypass security features of the Service.
• Do not “jailbreak” the AI or attempt to override its safeguards.

We may suspend or terminate your account for violations of these Terms.

7. Intellectual Property

Espa and all related content, software, and branding are the property of Espa Inc. or its licensors. You are granted a limited, non-exclusive, revocable license to use the Service for personal or business productivity purposes.

8. Data Usage & Privacy

Your data is handled in accordance with our Privacy Policy. Key points:

• We store only the data needed to provide the Service.
• Data is encrypted in transit and at rest.
• Your data is shared with third-party AI providers solely for task completion and never for training their models.
• You may view, edit, or delete stored preferences and revoke access at any time.

9. Service Availability & Beta Disclaimer

Espa is currently in an Alpha phase and may contain bugs or experience downtime. We do not guarantee uninterrupted or error-free operation.

• Espa’s suggestions may contain errors, and you are responsible for reviewing them.
• We are not liable for missed emails, scheduling errors, or productivity losses resulting from use of the Service.

10. Disclaimers and Limitation of Liability

The Service is provided “as is” and “as available.” To the fullest extent permitted by law:

• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
• We are not liable for indirect, incidental, consequential, or punitive damages arising from use of the Service.
• Our total liability shall not exceed the amount paid by you in the 3 months prior to the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Espa, its affiliates, and employees from any claims, damages, or expenses (including attorney’s fees) arising out of your use of the Service or violation of these Terms.

12. Termination

You may stop using Espa at any time. We may suspend or terminate your access if you violate these Terms or misuse the Service. Termination does not relieve you of payment obligations accrued prior to termination.

13. Changes to Terms

We may update these Terms from time to time. Significant changes will be communicated via email, WhatsApp, or through the dashboard. Your continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of California, without regard to its conflict-of-law principles. Disputes will be resolved through binding arbitration or in the courts located in California.
